C10-12 - CPS HUMAN RESOURCES SERVICES AGREEMENT TO PROVIDE ANIMAL CONTROL FIELD SERVICES THIS AGREEMENT is made and effective March 5,2012,by and between the CITY OF CALIMESA("City")and the CITY OF BEAUMONT("Beaumont"). RECITALS A. Beaumont has the personnel,experience and equipment to provide animal control field services under the direction of Beaumont's Chief of Police. B. The City has asked Beaumont to provide it with animal control field services.It is the purpose of this Agreement to set forth the terms and conditions by which Beaumont will do so. AGREEMENT NOW, THEREFORE,the City and Beaumont agree as follows: 1. Basic Services. Beaumont shall provide the following Basic Services: a. A trained animal control field service officer on duty 7 days a week,during the hours of 0700 to 1700 hours. Each officer shall be equipped with a motor vehicle suitable for the impoundment of small animals, including basic tools required to perform basic animal services; b. 24 hour Call Center to which City's residents may call to schedule animal control field services; c. Conduct periodic animal licensing clinics for City's residents,generally held monthly in the City of Beaumont. The City may periodically request an animal license clinic be held at a location of its choice which shall be billed at actual costs incurred; d. The billing of fees and charges to City recipients of animal control services; and e. Recordkeeping services,including animal licenses. 2. After Hours Services. Provided that an animal control field service officer is available (which may not always be the case), Beaumont shall render animal control services between the hours of 1700 hours and 0700 hours the following day. 3. Compensation. a. Daytime Service—for each animal control service call-out rendered between 0700 and 1700 hours,the City shall pay to Beaumont the sum of$30.00 per call-out,plus 1 any actual costs incurred including,but not limited to,the impoundment of large or wild animals,tranquilizers,veterinary services and shelter services,billed and paid monthly. b. After-Hours Services—for each animal service call-out that is rendered between 1700 hours and 0700 hours the following day,the City shall pay to Beaumont the sum of$30.00,plus any actual costs incurred including,but not limited to,the cost of services listed under subsection'a' above,as well as any additional personnel costs (overtime, stand-by,or call-out pay)incurred by Beaumont to provide said services, billed and paid monthly. 4. Credit for Fees and Charges. Beaumont shall attempt to collect from City recipients of animal control services,such fees and charges as are lawfully imposed for the impoundment,boarding, adoption of animals. When collected,Beaumont shall remit the collected amount to the City monthly. 5. Term of Agreement. The term of this Agreement shall be for one year,terminating on January 1, 2013,but shall automatically renew thereafter in one-year increments without further notice, unless terminated. 6. Termination. The City or Beaumont may terminate this Agreement at any time,upon 30-days prior written notice;provided,however,that the City shall pay for all services rendered to it prior to the date of termination,and Beaumont shall reimburse the City for any fees and charges collected from recipients of animal control services rendered prior to the termination date but collected thereafter. 7. City Liaison. In order to ensure smooth operation of the services provided hereunder, the City and Beaumont each agree to appoint a representative who shall be responsible for coordinating the implementation of this Agreement. a. Beaumont Appointment: Beaumont appoints the Chief of Police as its representative. Indemnification. Beaumont agrees to indemnify and hold the City, its officers, officials,agents and employees free and harmless from any claim or liability whatsoever, including property damage,bodily injury or death,arising out of Beaumont's performance of this Agreement to the extent that such liability is imposed on the City by the provisions of California Government Code Section 895.2 or other applicable law,and Beaumont shall defend at its expense, including attorney's fees,the City,its officials,officers,agents and employees in any legal action based upon such claims or liabilities. 9. Amendments to this Agreement. From time-to-time,the City and Beaumont may determine that the provision of services hereunder could be improved,made more efficient or expanded. Therefore,the parties agree to meet and confer at the request of either party and to negotiate in good faith such reasonable amendments to this Agreement as the parties deem appropriate. I JUST RECEIVED OUR CITY ATTORNEY COMMENTS REGARDING THE AGREEMENT. CAN YOU PLEASE ADDRESS HIS COMMENTS. THANK YOU FRANK. Randy, I have looked at the new draft agreement. As with the first "interim" agreement from 2010, this agreement is silent on certain key issues: (1) Animal Licenses. Under services (Section 1), my general understanding is that the animal license fees are a substantial portion of the revenue that helps offset the cost of these programs. But it is not clear how the licensing program will be conducted by Beaumont, who will collect the money and make sure the money is either paid to the City or used as a credit to the charges imposed in administering the program. I see that the agreement says that Beaumont will conduct "periodic" animal licensing clinics, and provide record keeping services "including animal licenses." What does periodic mean -once a week or once a year? I suggest that we get a better commitment out of Beaumont as to how they will be getting residents to get licenses for their animals or is that going to principally be Calimesa's responsibility? Will there be quarterly or annual letters, door-to-door canvassing, or something less robust? As you know, if we have a weak licensing program, it would seem that the whole program will require more General Fund dollars to support. On the other hand, what type of a licensing program are the residents used to or can take without giving substantial push-back to the Council? (2) Response Times. I know that some cities have residents complain about response times. For example, a dog dies, and animal control will not come out until a day or so later. I note that in Section 1 (b)they will have one field service officer on call during certain times, but is there any commitment that Beaumont can provide as to a response time? Also, is that one officer to cover all of Beaumont and Calimesa or is the officer dedicated to just Calimesa? If they can't commit to a response time, do they have a priority as to type of calls so that the City has assurance that a dog running loose in Calimesa and a dog death is is put an appropriate priority. Also, will Calimesa calls be given the same priority as Beaumont calls? (3) Fees. I see that under compensation, that the City will be billed $30 per call-out plus costs. In addition, the City will charge the City$75 for an "after hours" call out that require a police officer response. This $75 after hours fee is new and was not in the first agreement. Is an "after hours" call one that occurs before 7:00 a.m. or after 5:00 p.m.? Do they have a schedule of standard costs so we have a ball park idea what Beaumont will charge for other services such as shelter services and other routine expenses? The$30 call out charge may be reasonable but they may make up for that through high shelter charges, vet charges with some high admin fee percentage surcharge, and other unspecified expenses. The agreement is silent on those details. 1 (4) Services. The Agreement does not indicate what type of animal control field services will be provided. It would help if it specified the scope of field services to include impoundment, animal bite procedures, quarantine, nuisance abatement cooperation, trapping, return of impounded animals, issuance of warnings and citations, how calls are recorded, complaints, monthly reports, etc. I suggest that these additional issues be negotiated and worked out with more specification as to how each of these issues are addressed in the agreement so there is no misunderstanding as this contract gets implemented in the future. Calimesa is getting a great deal when you stop and think that 1 of our Animal Care Officers fully burdened rate of pay is $40.11 per hour at 40 hours a week at 52 weeks a year is$83,428.80 they have paid %of this in over a year and a half. A. Purpose. This Agreement defines CPS test rental, use and security policies and procedures. CPS develops and rents tests for a number of purposes and in a number of formats. For that reason, some of the below paragraphs apply under certain circumstances. But, unless specifically limited, each paragraph applies to all E. testing purposes and formats. B. Ownership of CPS Tests. 1. CPS owns all rights, title and interest, including copyrights, in all tests provided under this Agreement. They are the property of CPS and shall remain the property of CPS, even while in the custody of Client. 2. Additionally, tests that have been constructed or modified based on information provided by the client shall not be considered works made for hire, as that term is defined under U.S. Copyright Law. CPS shall own all rights, title and interest, including the copyright, in any test it creates for the Client. 3. Ownership of tests specifically developed for a client and of individual test questions supplied by Client, if any, shall be governed by a separate Agreement between CPS and Client. C. Test Materials. Test Materials consist of all used and unused test booklets, proctors instructions, proctors manuals, scoring instructions, key sheets, key overlays, keyed booklets, scoring keys, instructions, CDs (for oral tests), and any other materials generated at the test administration, such as completed answer sheets (if applicable), scratch paper, note paper and the like. D. Test Security. CPS security standards are designed to protect the mutual interests of all Clients that use Test Materials as well as the interests of applicants who take CPS tests. In order that no person may gain special advantage by having improper access to the material, all users must sign this Agreement and agree to fulfill its terms, before the Agreement is effective. 1. Client agrees to take all reasonable and diligent steps to keep CPS tests, sample tests, and testing processes confidential and free from unauthorized access and use. This includes, but is not limited to, client agreeing not to divulge, convey, copy in whole or part, duplicate, convert to another format or medium, or otherwise disseminate tests, portions of tests, or test materials. 2. For on -line tests, client further agrees to take all reasonable and diligent steps to prevent any modification to or reverse engineering of the testing software, and any transfer, storage or dissemination of tests or testing software and data on any storage medium or computer server other than those specifically authorized by CPS. - 1 - 3. Should Client suspect any breach of test security, Client agrees to immediately notify CPS and immediately take all steps necessary to preserve evidence of or related to the breach, whether physical or electronic. Test Review, Ordering and Administration. 1. Review Copies. Review of CPS tests is subject to the test security standards. (a) Test Rental Division: To help in deciding whether to rent exams, Client may review CPS stock tests and other stock test materials free of charge (e.g., stock supplements, structured interview packages, and specialized item sets). (b) SLPP: CPS does not offer review copies of the Spanish Language Proficiency Program (SLPP) tests. However, for new clients, CPS can provide a sample written test booklet showing the different components of the test. (c) On -line Testing: To help in deciding whether to utilize on -line testing, Client may review sample on -line tests free of charge. 2. Ordering Testing Materials and Scheduling of Examinations. (a) Test Rental Division and SLPP: (i) To insure materials are received in time, Client must notify CPS at least 10 business days prior to the test date of the total number of candidates in each job classification to be tested. If orders are placed less than 10- business -days prior to the test date, rush shipment charges may apply and timely delivery cannot be guaranteed. (ii) Client shall rent one test booklet per candidate to be tested. CPS shall provide Client with Test Materials including instructions for administering the test, sufficient test booklets and any other material CPS deems necessary. (b) On -line Testing: (i) To insure Client equipment is functioning and capable of administering on -line testing, Client must request testing from CPS at least 10 business days prior to the test date on the first time Client utilizes on- line testing. After Client has successfully used on -line testing, 5 working days notice is normally sufficient for subsequent testing. (ii) Client recognizes that CPS has no control over the functioning of the internet, and any problems with on -line testing due to the failure thereof are not attribAals . A. Purpose. This Agreement defines CPS test rental, use and security policies and procedures. CPS develops and rents tests for a number of purposes and in a number of formats. For that reason, some of the below paragraphs apply under certain circumstances. But, unless specifically limited, each paragraph applies to all testing purposes and formats. B. Ownership of CPS Tests. 1. CPS owns all rights, title and interest, including copyrights, in all tests provided under this Agreement. Additionally, tests that have been constructed or modified based on information provided by the client shall not be considered works made for hire, as that term is defined under U.S. Copyright Law. Test Materials consist of all used and unused test booklets, proctors instructions, proctors manuals, scoring instructions, key sheets, key overlays, keyed booklets, scoring keys, instructions, CDs (for oral tests), and any other materials generated at the test administration, such as completed answer sheets (if applicable), scratch paper, note paper and the like. O. Test Security. fPS security standards are designed to protect the mutual Interests of all Clients that use Test Materials as well as the interests of applicants who take CPS tests. In order that no person may gain special advantage by having improper access to the material, all users must sign this Agreement and agree to fulfill its terms, before the Agreement is effective. 1. Client agrees to take all reasonable and diligent steps to keep CPS tests, sample tests, and testing processes confidential and free from unauthorized access and use. This includes, but is not limited to, client agreeing not to divulge, convey, copy in whole or part, duplicate, convert to another format or medium, or otherwise disseminate tests, portions of tests, or test materials. 2. For on -line tests, client further agrees to take all reasonable and diligent steps to prevent any modification to or reverse engineering of the testing software, and any transfer, storage or dissemination of tests or testing software and data on any storage medium or computer server other than those specifically authorized by CPS. 3. Should Client suspect any breach of test security, Client agrees to immediately notify CPS and immediately take all steps necessary to preserve evidence of or related to the breach, whether physical or electronic. E. Test Review, Ordering and Administration. 1. Review Copies. Review of CPS tests is subject to the test security standards. (a) Test Rental Division: To help in deciding whether to rent exams, Client may review CPS stock tests and other stock test materials free of charge (e.g., stock supplements, structured interview packages, and specialized item sets). (b) SLPP: CPS does not offer review copies of the Spanish Language Proficiency Program (SLPP) tests. However, for new clients, CPS can provide a sample written test booklet showing the different components of the test. (c) On-line Testing: To help in deciding whether to utilize on -line testing, Client may review sample on -line tests free of charge. 2. Ordering Testing Materials and Scheduling of Examinations. (a) Test Rental Division and SLPP: (i) To insure materials are received in time, Client must notify CPS at least 10 business days prior to the test date of the total number of candidates in each job classification to be tested. If orders are placed less than 10- business -days prior to the test date, rush shipment charges may apply and timely delivery cannot be guaranteed. (ii) Client shall rent one test booklet per candidate to be tested. CPS shall provide Client with Test Materials including instructions for administering the test, sufficient test booklets and any other material CPS deems necessary. (b) On -line Testing: (i) To insure Client equipment is functioning and capable of administering on -line testing, Client must request testing from CPS at least 10 business days prior to the test date on the first time Client utilizes on- line testing. After Client has successfully used on -line testing, 5 working days notice is normally sufficient for subsequent testing. Billing, Pricing, and Payment. 1. CPS shall bill Client at the billing address provided in Exhibit A, unless notified in writing of a new billing address. 2. The bill shall be derived from the most current applicable Rate Sheet (s): Exhibit B for Test Rental, Exhibit C for SLPP, and Exhibit D for On -line Testing. Client acknowledges and understands that the Test Price List(s) are only effective as of the date shown each of them and are subject to change. 3. Client shall be billed for any work done on a canceled or postponed test up to the time CPS is notified of such cancellation or postponement. Under certain circumstances, and in CPS'sole discretion, credit may be given for work already performed if the test is rescheduled. 4. CPS may charge Client for lost or compromised tests if Test Materials are not timely returned. S. Client agrees to and shall pay all invoices within thirty (30) days of receipt of invoice. G. Under the federal Uniform Guidelines on Employee Selection Procedures, the Client as test user is responsible for the results of the selection process, and Client understands and acknowledges that it must be prepared to demonstrate that the process is valid and meets other testing standards if it adversely affects groups protected by fair employment laws. 2. Client is responsible for insuring that all persons who handle or have access to Test Materials in any capacity for Client shall do so in compliance with this Agreement, and are trained to handle Test Materials and administer tests before they do so. 1. Legal Proceedings Involving Test Materials. 1. If Client receives notice of any administrative or court proceeding involving a CPS test, or a request for disclosure of Test Materials, such as a subpoena, or a public records or freedom of information request, Client shall notify CPS of such request immediately and well before a response is due. 2. Upon CPS request, Client shall maintain the confidentiality of the Test Materials pending the grant or denial of a protective order or the decision of a court or administrative body as to whether the requested Test Materials must be disclosed under the applicable public records statute. 3. Client shalt cooperate with CPS in seeking any relief necessary to maintain the confidentiality of the Test Materials. 4. Client shall indemnify and hold CPS harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorney fees and costs) arising out of or in connection with administration of a test, or with maintaining confidentiality of Test Materials.
