This Memorandum of Participation (MOP) is made and entered into by and between The City of Beaumont
(Center) And the County of Riverside, a political subdivision of the State of California, through its Community Action
Partnership (CAP), collectively referred to as the "Parties" or individually referred to as a "Party."
I. PURPOSE:
To affirm the commitment between the Parties to supply a room, electricity, tables or desks, chairs, computer(s) if
applicable, to use and assist with promotion of the VITA program to prepare income taxes for low to moderate
income individuals for free.
II. TERM:
This MOP shall be effective upon signature of this MOP by both parties and in effect until April 30, 2019, for tax
preparation season. This MOP can be terminated by either Party upon thirty (30) days written notification to the
other Party.
III. COMPENSATION:
No Party to this MOP shall be obligated to pay any monetary compensation to the other nor shall be obligated to
pay any third party as a result of this MOP.
IV. RESPONSIBILITIES:
A. CENTER Responsibilities:
1. Provide access to a room for free tax preparation assistance at no cost during tax season (January, February,
March and April).
2. Maintain current liability insurance and valid license(s) for the operation of facility and for the safety of
participants.
3. If applicable, provide computer and Internet access for free tax preparation assistance at no cost.
4. If providing appointment services, provide telephone and voice mailbox services at no cost.
5. Complete and return the In-KindNolunteer Form, attached hereto, to CAP.
6. Not limit services to only membership of Center here, but agree to allow the tax preparation services to all
citizens of Riverside County no matter their residence.
7. Assist in outreach and promotion of all the CAP programs.
8. Share impact stories/photos.
B. CAP Responsibilities:
1. Provide volunteer staffing for the room and publish a schedule showing regular hours of operation.
2. Provide a printer to be used by staff and the volunteers when accessing the computer. If CENTER provides
printer then CAP will provide ink supplies.
3. Provide all office supplies used by staff and volunteers.
4. Provide free tax preparation assistance during Tax season.
5. Provide outreach and resource materials for all CAP programs.
V. NOTICES:
All correspondence and notices required or contemplated by this MOP shall be delivered to the respective Parties
at the addresses set for the below the Parties signatures and are deemed submitted two days after their deposit in
the United States mail, postage prepaid.

VI. RELATIONSHIP OF PARTIES:
Parties have a relationship based entirely on, and defined, by the express provisions of this MOP and no
partnership, joint venture, agency, fiduciary or employment relationship is intended or created by reason of this
MOP.
VII. ASSIGNMENT:
Neither Party shall transfer any right, interest, or obligation in or under this MOP to any other entity without prior
written consent of the other Party.
VIII. GOVERNING LAW:
This MOP shall be governed by the laws of the State of California. Any legal action related to the performance or
interpretation of this MOP shall be filed only in the Superior Court of the State of California located in Riverside,
California, and the Parties waive any provision of law providing for a change of venue to another location. In the
event any provision in this MOP is held by a court of competent jurisdiction to be invalid, or unenforceable, the
remaining provisions ell nevertheless continue in full force without being impaired or invalidated in any way.
IX. AUTHORITY TO EXECUTE:
The individuals executing this MOP on behalf of the Parties each represents and warrants that they have the legal
power, right and actual authority to bind the Parties to the terms and conditions herein.
X. ENTIRETY OF CONTRACT:
This MOP, including any attachments or exhibits, constitutes the entire agreement of the Parties with respect to its
subject matter and supersedes all prior and contemporaneous representations, proposals, discussions and
communications, whether oral or in writing. This MOP, may be changed or modified only by a written amendment
signed by authorized representatives of both Parties.
